1. Acceptance of Terms

By accessing or using Meridian (usemeridian.tech), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Meridian is a strategy engine for building, tracking, and validating strategic assumptions. It provides tools for assumption management, riskiest assumption testing, customer discovery, evidence-backed positioning, strategic intelligence, and portfolio oversight.

3. Account Registration

To use certain features of the Service, you must register for an account. You must provide accurate and complete information and keep your account information updated. You are entirely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Subscription & Billing

Meridian is currently offered at no cost during our early access period. Meridian reserves the right to introduce paid plans in the future. We will provide advance notice before any features you currently use require payment.

5. Intellectual Property

Meridian and its original content, features, and functionality (excluding User Data) are owned by Meridian and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6. User Data & Ownership

You retain full ownership of all data, content, and materials you upload, input, or create within Meridian ("User Data"). We claim no intellectual property rights over your User Data. By using Meridian, you grant us a license to host and process your User Data solely as necessary to provide the Service to you.

7. Acceptable Use

Users agree not to:

• Reverse engineer, decompile, or disassemble any part of the Service;
• Use the Service for any illegal or unauthorized purpose;
• Attempt to gain unauthorized access to any portion of the Service or any related systems or networks;
• Transmit any viruses, malware, or other destructive code;
• Resell, sublicense, or distribute access to the Service without our express written permission.

8. AI-Powered Features

Meridian uses artificial intelligence (AI) to analyze user-provided data and generate strategic insights. AI outputs are advisory only and should not be treated as definitive or professional advice. Meridian does not guarantee the accuracy, completeness, or reliability of any AI-generated content. You are responsible for reviewing and validating any AI insights before relying on them.

9. Limitation of Liability

Meridian is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Meridian shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

10. Termination

Either party may terminate this agreement at any time. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, users may request an export of their User Data within 30 days of the termination date.

11. Modifications to Terms

Meridian reserves the right to modify these Terms at any time. We will provide reasonable notice of any material changes via email or through the Service. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.
